License summary
Last updated 8 November 2026
One purchase lets you build as many sites as you like for your own clients. A Kit license is for one person; the Agency Edition covers up to 5 people in your agency. What you can't do is resell or share the kit itself.
This page is a plain-language summary of the Counterkit license, version 1.0. Counterkit is made and sold by Halvex Labs, Hyderabad, India ("we" on this page). The full license is the LICENSE.md file inside your download. If the two ever differ, LICENSE.md is what applies.
Who it covers
Kit
- One buyer: a freelancer, or an agency or other business.
- One person using the kit: you, or one person you choose who works for you.
Agency Edition
- One agency or business.
- Up to 5 people using the kit at a time, who work for it as employees or regular contractors.
- For a bigger team, buy another Agency Edition license.
Either way, the number of client sites is unlimited. LICENSE.md calls these people your "authorised users". When one of them leaves, you can give their place to someone new.
What you can and can't do
You can
- Build and deliver unlimited sites for your clients and for your own businesses.
- Charge whatever you like for those sites, for setup and for care plans.
- Change the code, themes and documents however you want.
- Hand each finished site's code over to that client, who can keep running it.
- Send the business pack documents to your own clients as your own documents.
- Agency Edition: put your agency's name on the white-label proposal and handover docs.
- Show sites you built in your portfolio, with each client's permission, and say they were built with Counterkit.
You can't
- Share your download, your download link or your license with anyone who isn't one of your authorised users.
- Resell, give away or share the kit, or any part of it on its own, whether for money or for free.
- Sell or give away a template, theme, starter, skill pack or course that is the same as or substantially similar to the kit, even if it's renamed or reworked.
- Publish the kit's source code or the business pack in a public repository, marketplace or file share.
- Offer the kit as a self-service tool where other people build their own sites with it, such as a website builder or SaaS.
- Use the Counterkit name or logo in a way that suggests we made or endorse your product, or put "Counterkit" in your own product, business or domain name.
Client sites
A site you deliver will contain code from the kit. That's expected and fine. Your client can keep, host and change their own site for their own business, and can hire someone else to look after it. They can't use it as a kit to make sites for other people, or pull the kit out of it and pass it on, so say this in your agreement with clients who get the source code. Keep each client's project folder private; the built site itself is public, of course.
Updates
Your purchase includes 12 months of updates to the edition you bought. You can keep using the version you have after that, under the same license.
Refunds
A refund ends the license: stop using the kit and delete your copies. Sites you already delivered to clients can stay with them. See the refund policy.
No warranty
The kit comes as it is, with no warranty. You're responsible for the sites you build and for what you promise your clients.
Open-source parts
The kit builds on open-source software, such as Astro, which keeps its own license. The free order button is a separate open-source project under the MIT license.
